Preparation for company registration


Before setting up a business in Thailand some organizational issues shall be resolved.

The first question is what are the type of activities of the future company. Will you be engaged in one direction or several? Are special licenses required? For foreigners, the key question will also be whether it is possible to obtain a work permit for the company with one or another type of activity.

The minimum number of shareholders is 3, including foreigners and Thais, individuals or legal entities. The main thing is not to violate the Foreign Business Act, to comply with legal requirements applicable to a particular type of activity, and if the company must be a Thai legal entity, transfer no more than 49% of the shares to foreign shareholders.

The office of the company should correspond to its type of activity and the number of employees. It is important to obtain from the landlord all the documents necessary for registering with the social insurance fund, obtaining work permits for foreigners, licenses, etc.

The amount of the authorized capital will depend on the type of activity and the number of foreign employees. In the future, it will affect the status of the company (a small company - pays income tax at an increasing rate, or a large enterprise - pays income tax at a single rate of 20%).

In the event that the company is not a private / family business, we recommend you to sign an agreement between shareholders about the procedure of cooperation and profit sharing.

A tax plan will be important for any business, but of course it will be different in its complexity. The larger the business, the more complicated the tax plan and the more it is necessary to get started.
